1. AGREEMENT TO TERMS
1.1 Acceptance of Terms
These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“User,” “you,” or “your”), and Filip Pradella, operating as WeGuide AI (“WeGuide,” “Company,” “we,” “us,” or “our”), concerning your access to and use of the WeGuide AI mobile application, website located at weguide.ai, and any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Service”).
You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Service and you must discontinue use immediately. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.
Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of these Terms and Conditions, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Service after the date such revised Terms and Conditions are posted.

2. SERVICE DESCRIPTION
2.1 Nature of the Service
WeGuide AI is an artificial intelligence-powered travel guide application designed to provide users with personalized, real-time narration and guidance while exploring points of interest (“POIs”), cultural landmarks, historical sites, and other travel destinations. The Service utilizes advanced artificial intelligence technologies to generate contextually relevant content tailored to each user’s preferences, interests, and current location.
The Service transforms every smartphone into a private multimedia guide through engaging content, interactivity, and state-of-the-art technology. By leveraging real-time location data and user preferences, WeGuide AI delivers a unique, personalized experience that adapts to each user’s journey, providing relevant information precisely when and where it is most useful.
2.2 Service Tiers and Access Levels
The Service is offered through multiple access tiers designed to accommodate different user needs and preferences.
2.2.1 Demo Mode
Demo Mode provides limited access to the Service without requiring account registration. Users may access Demo Mode for up to thirty (30) minutes per calendar day. This mode is designed to allow potential users to experience the core functionality of the Service before committing to registration. Demo Mode, also referred to as “Escape from Crowd” functionality, still requires access to location services to provide its core features. Demo Mode access does not include all features available to registered users and is subject to limitations at our sole discretion.
2.2.2 Free Account
Users who create a registered account gain access to basic Service features at no cost. Free Account access requires the provision of registration information as described in Section 3 of these Terms. Free Account holders may access standard features of the Service, subject to limitations that may be imposed from time to time. The specific features available to Free Account holders may change without prior notice as we continue to develop and improve the Service.
2.2.3 Premium Access
Premium Access provides full access to all Service features for a specified duration. Premium Access may be purchased for varying time periods, which may include but are not limited to three (3) days, seven (7) days, fourteen (14) days, twenty-eight (28) days, three (3) months, six (6) months, or one (1) year. The specific Premium Access periods available for purchase may be modified from time to time at our sole discretion. Premium Access unlocks advanced features including but not limited to extended AI capabilities, offline access to certain content, priority support, and access to exclusive POI information.
2.2.4 Route Purchases
In addition to time-based Premium Access, users may purchase individual tour routes from our marketplace. These routes are curated experiences created either by WeGuide AI or by verified Content Partners. Route purchases grant the user access to the specific purchased route, including all associated narration, guidance, and content, for a single use or as otherwise specified at the time of purchase.
2.2.5 Group Packages
Group Packages enable a purchasing user to extend access to multiple individuals for shared experiences. When purchasing a Group Package, the purchaser must provide the email addresses of all intended group members within the application. Once email addresses are provided, the designated individuals may create or link their WeGuide AI accounts to participate in the group experience. Each group member receives individualized narration tailored to their personal preferences while participating in the shared tour experience. Group Package access is non-transferable once assigned to specific email addresses and cannot be reassigned to different individuals after activation.
3. ELIGIBILITY AND USER REGISTRATION
3.1 Age Requirements and Parental Consent
The Service is intended for users who are at least thirteen (13) years of age. Persons under the age of thirteen (13) are not permitted to use the Service under any circumstances. All users who are minors in the jurisdiction in which they reside, generally under the age of eighteen (18), must have the permission of, and be directly supervised by, their parent or legal guardian to use the Service. If you are a minor, you must have your parent or guardian read and agree to these Terms and Conditions prior to you using the Service.
By using the Service on behalf of a minor, the parent or guardian represents and warrants that they have the legal authority to bind the minor to these Terms and Conditions and that they accept full responsibility for the minor’s use of the Service. Parents and guardians are responsible for monitoring their minor children’s use of the Service and ensuring compliance with these Terms and Conditions.
3.2 Account Registration Requirements
To access features beyond Demo Mode, you must create an account by completing our registration process. During registration, you will be required to provide certain personal information, including but not limited to your first name, email address, country of residence, preferred language, and preferred currency. You may also register using third-party authentication services such as Google, Apple, or other social login providers that we may make available from time to time. When registering through third-party authentication, you authorize us to access certain information from your third-party account as permitted by that service’s terms and conditions.
All registration information you provide must be true, accurate, current, and complete. You agree to maintain the accuracy of such information and to promptly update your registration information as necessary to keep it accurate, current, and complete. Providing false, inaccurate, outdated, or incomplete registration information constitutes a breach of these Terms and Conditions and may result in immediate termination of your account.
3.3 Account Security and Responsibilities
You are responsible for maintaining the confidentiality of your account login credentials, including your password, and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security of which you become aware. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, otherwise objectionable, or infringes upon the rights of any third party.
We will not be liable for any loss or damage arising from your failure to comply with these security obligations. You acknowledge that you are fully responsible for all activities that occur under your account, whether or not authorized by you, and you agree to indemnify and hold us harmless from any claims arising from unauthorized use of your account that results from your failure to maintain account security.
4. PURCHASES, PAYMENTS, AND BILLING
4.1 Product Offerings and Pricing
Through the Service, you may purchase Premium Access for specified time periods, individual tour routes from our marketplace, and Group Packages for shared experiences. All prices are displayed in United States Dollars (USD) by default, though we may display prices in local currencies for your convenience. The actual charge to your payment method will be processed in the currency specified at checkout. Prices are subject to change without notice, and we reserve the right to modify pricing at any time. Any price changes will not affect purchases that have already been completed.
All prices displayed include applicable taxes unless otherwise stated. Additional taxes may be applied at checkout depending on your jurisdiction and the applicable tax laws. You are responsible for any taxes that may apply to your purchase based on your location and the nature of the products or services purchased.
4.2 Payment Methods and Processing
We accept payment through various methods including but not limited to credit cards (Visa, Mastercard, American Express), debit cards, Google Pay, Apple Pay, PayPal, and BLIK for transactions in Polish Zloty. Additional payment methods may be added or removed from time to time at our discretion. All payment processing is handled by secure third-party payment processors. We do not store, process, or have access to your complete payment card details; such information is handled directly by our payment processing partners in accordance with their respective privacy policies and security standards.
When you submit a payment, you represent and warrant that you have the legal right to use the payment method provided and that the information you supply is true, correct, and complete. By submitting payment information, you authorize us to charge your payment method for the total amount of your purchase, including any applicable taxes and fees. If your payment method fails or your account is past due, we reserve the right to collect payment using any other payment method associated with your account, to suspend or terminate your access to purchased services, and to pursue any other lawful means of collection.
4.3 Subscription Terms and Automatic Renewal
At this time, the Service does not offer automatically renewing subscriptions. All Premium Access purchases are for fixed periods and will expire at the end of the purchased period without automatic renewal. When your Premium Access period expires, you will need to make a new purchase to continue accessing Premium features. We may introduce automatic renewal subscription options in the future, in which case these Terms will be updated accordingly and you will be notified of any changes.
4.4 Group Package Provisions
When you purchase a Group Package, you assume responsibility for providing accurate email addresses for all intended group members. Access allocated to specific email addresses cannot be transferred to different individuals once the group members have been designated. Each group member must have or create a valid WeGuide AI account using the email address provided by the purchaser in order to access the group experience.
The purchaser of a Group Package is solely responsible for the actions of all group members while using the Service. All group members are bound by these Terms and Conditions, and violation of these Terms by any group member may result in suspension or termination of access for the entire group. Group Packages may not be resold, redistributed, or used for commercial purposes without our express written consent.
5. REFUND POLICY
5.1 General Refund Terms
Due to the digital nature of our Service and the immediate provision of access upon purchase, our ability to offer refunds is limited. We evaluate refund requests on a case-by-case basis, taking into consideration the specific circumstances of each request.
For Premium Access purchases, refunds may be requested within twenty-four (24) hours of purchase, provided that you have not accessed or utilized any Premium features during that period. Once you have accessed Premium features, including but not limited to initiating a Premium tour, accessing Premium-only content, or utilizing any feature exclusive to Premium Access, your purchase is considered fully delivered and no refund will be available.
For tour route purchases from our marketplace, no refunds are available once the route has been started or downloaded for offline use. If you have not accessed the purchased route in any way, you may request a refund within forty-eight (48) hours of purchase, subject to our approval.
For Group Packages, refunds are available only if no group members have activated their access by linking their accounts to the group. Once any group member has activated their access, the Group Package purchase is considered delivered and no refund will be available.
5.2 Promotional and Alpha Test Purchases
Special promotional offers, including but not limited to Alpha test access packages, discounted access periods, and limited-time offers, are sold at significantly reduced prices as a special accommodation to early adopters and test participants. All promotional purchases are final and non-refundable under any circumstances. By purchasing a promotional offer, you acknowledge and agree that you are receiving a substantial discount in exchange for accepting a no-refund policy on that purchase.
The fourteen (14) day Alpha Access package and any similar promotional offerings are expressly non-refundable. These promotional offers represent exceptional value and are priced accordingly with the understanding that purchasers accept full responsibility for their purchase decision.
5.3 Technical Issues and Service Failures
If you experience significant technical issues that prevent you from using purchased services, and these issues are attributable to failures in our Service rather than your device, network, or other factors outside our control, you may contact us at desk@weguide.ai within seven (7) days of encountering the issue. Upon verification of the technical issue, we will, at our sole discretion, provide either a refund, service credit, or extended access period as appropriate compensation. Our determination of the cause of any technical issue and the appropriate remedy shall be final and binding.
5.4 Refund Request Procedure
To request a refund, you must submit your request via email to desk@weguide.ai. Your request must include your account email address, the date of purchase, the transaction identifier or order number, and a detailed explanation of the reason for your refund request. We will review your request and respond within fourteen (14) business days. If your refund is approved, the refund will be processed to your original payment method within fourteen (14) business days of approval. The actual time for the refund to appear in your account may vary depending on your payment provider.
6. LOCATION SERVICES AND GPS REQUIREMENTS
6.1 Location Data as Essential Service Component
The Service is fundamentally a location-based application, and access to your device’s Global Positioning System (GPS) and location services is required for the Service to function properly. By using the Service, you expressly consent to our collection, processing, and use of your real-time location data for the purposes of providing the Service, including but not limited to triggering contextual narration, providing navigation guidance, delivering location-relevant content, and personalizing your experience based on your travel patterns.
Without access to location services, the core functionality of the Service cannot operate, and you will not be able to receive the real-time, context-aware guidance that constitutes the primary value proposition of WeGuide AI. You acknowledge and agree that enabling location services is a prerequisite for using the Service, including Demo Mode.
6.2 Location Data Processing
Your location data is processed in real-time to deliver contextually relevant content as you explore points of interest. We collect information about the POIs you visit, your movement patterns during active Service sessions, and your historical location data to improve personalization and recommendations. This location data is processed by our artificial intelligence systems to enhance the quality and relevance of the guidance you receive.
You may disable location services at any time through your device’s settings menu. However, you acknowledge that disabling location services will render the Service substantially or completely unusable, and we shall have no obligation to provide refunds, credits, or other compensation for any period during which you have voluntarily disabled location services.
7. ARTIFICIAL INTELLIGENCE CONTENT GENERATION
7.1 Nature of AI-Generated Content
The Service utilizes artificial intelligence technologies to generate personalized narration, recommendations, and informational content in real-time. To provide this personalized experience, our AI systems process various data points including but not limited to your name, age, stated interests and preferences, conversation history with the AI guide, in-app chat messages, and your history of visited locations.
AI-generated content is created dynamically based on available data and algorithmic processing. This content has not been individually reviewed, verified, or approved by human editors prior to delivery. While we strive to provide accurate and helpful information, the nature of AI-generated content means that it may contain inaccuracies, outdated information, or errors.
7.2 Disclaimers Regarding AI Content
You expressly acknowledge and agree that all AI-generated content is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim any warranties regarding the accuracy, completeness, reliability, timeliness, or suitability of AI-generated content for any particular purpose.
Information provided through the Service regarding points of interest, including but not limited to business hours, admission prices, availability, accessibility, safety conditions, and historical or cultural information, may be inaccurate, outdated, or incomplete. Business establishments may close, relocate, or change their operating parameters without our knowledge. Historical and cultural information generated by the AI may contain errors, oversimplifications, or interpretations that differ from authoritative sources.
You agree that you will not rely solely on AI-generated content for decisions affecting your health, safety, or financial well-being. You acknowledge your responsibility to verify critical information, including but not limited to safety warnings, accessibility requirements, emergency services locations, and current operating status of any establishment, through official sources before acting on any information or recommendations provided through the Service.
8. DISCLAIMER OF LIABILITY
8.1 No Responsibility for Physical Safety
The Service provides informational and entertainment content only and is not intended to serve as a substitute for personal judgment, professional advice, or official safety guidance. We expressly disclaim all responsibility and liability for any personal injury, death, property damage, or other harm that may result from your use of the Service or your reliance on any content, recommendations, or guidance provided through the Service.
You acknowledge and agree that travel inherently involves risks, including but not limited to risks associated with unfamiliar environments, varying weather conditions, uneven terrain, traffic hazards, criminal activity, and other dangers. By using the Service, you assume all risks associated with your travel activities, including risks that may arise from following routes or visiting locations suggested by the Service.
We do not guarantee the safety, accessibility, legality, or suitability of any location, route, or point of interest suggested by the Service. Some locations may be closed, restricted, dangerous, or otherwise unsuitable for visitation at any given time. You are solely responsible for assessing the safety and appropriateness of any location before visiting, and you agree not to enter any location that appears unsafe, restricted, or inappropriate regardless of any suggestion or guidance provided by the Service.
8.2 No Responsibility for Third-Party Services
The Service may provide information about third-party businesses, attractions, services, and establishments including but not limited to restaurants, hotels, museums, transportation providers, and tour operators. We do not own, operate, control, or endorse any of these third-party entities, and we disclaim all responsibility and liability for the quality, safety, legality, or availability of their products or services.
Any interactions, transactions, or disputes between you and third-party service providers are solely between you and the third party. We are not a party to any such interactions and shall not be liable for any damages, losses, or claims arising from your dealings with third parties, regardless of whether those third parties were suggested or referenced by the Service.
8.3 Service Availability and Continuity
We do not guarantee uninterrupted, error-free, or secure operation of the Service. The Service may be subject to interruptions, delays, failures, or errors due to maintenance activities, software updates, hardware failures, network issues, third-party service disruptions, natural disasters, acts of war or terrorism, government actions, or other factors beyond our control.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, for any reason or no reason, without liability to you or any third party. This includes the right to modify or remove features, change pricing, alter access tiers, or cease operations entirely.
9. LIMITATION OF LIABILITY
9.1 Exclusion of Damages
To the maximum extent permitted by applicable law, in no event shall WeGuide AI, its owner, affiliates, directors, officers, employees, agents, service providers, suppliers, licensors, or any other party involved in creating, producing, or delivering the Service be liable to you for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your access to, use of, or inability to use the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been informed of the possibility of such damage.
This limitation applies to all claims, whether arising from breach of contract, breach of warranty, negligence, strict liability, or any other legal theory, and regardless of the success or effectiveness of other remedies. This limitation shall apply even if any limited remedy provided herein fails of its essential purpose.
9.2 Cap on Liability
Without limiting the foregoing, and to the extent that any limitation or exclusion of liability set forth in this Section 9 is found by a court of competent jurisdiction to be unenforceable, our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount paid by you to us during the twelve (12) month period immediately preceding the event giving rise to the claim, or (b) one hundred United States Dollars (USD $100).
The limitations of liability set forth in this Section 9 shall apply to the fullest extent permitted by law in the applicable jurisdiction. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above limitations may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.
10. INTELLECTUAL PROPERTY RIGHTS
10.1 WeGuide AI Ownership
Unless otherwise indicated, the Service is our proprietary property, and all source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and all other content available through the Service (collectively, the “Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”), are owned or controlled by us or licensed to us, and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws of various jurisdictions and international conventions.
The Content and the Marks are provided through the Service “AS IS” for your personal information and use only. Except as expressly provided in these Terms and Conditions, no part of the Service and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
All AI-generated content, including personalized narrations, recommendations, and informational content created by our artificial intelligence systems, constitutes our proprietary intellectual property. The algorithms, models, training data, and methodologies underlying our AI systems are trade secrets and confidential information of WeGuide AI.
10.2 User License Grant
Provided that you are eligible to use the Service and remain in compliance with these Terms and Conditions, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. This license does not include the right to modify, reproduce, distribute, publicly display, publicly perform, create derivative works from, or commercially exploit the Service or any Content.
This license will automatically terminate if you violate any of these Terms and Conditions, in which case you must immediately cease all use of the Service and destroy any copies of Content in your possession. We reserve all rights not expressly granted to you in and to the Service, Content, and Marks.
10.3 Content Partner Materials
Tour routes and associated content created by verified Content Partners constitute the intellectual property of those Content Partners with respect to the original creative elements contributed by them. Content Partners retain ownership of their route names, personal names and likenesses, original narrative content, unique informational contributions, and creative expression embodied in their routes. WeGuide AI holds a license to distribute, display, and make available Content Partner materials through the Service in accordance with our Content Partner agreements.
Content Partner materials remain subject to our overall Terms and Conditions, and users must respect the intellectual property rights of Content Partners in the same manner as they respect our intellectual property rights. Unauthorized reproduction, distribution, or commercial use of Content Partner materials is strictly prohibited.
10.4 Prohibited Uses
You shall not, directly or indirectly, copy, modify, distribute, sell, license, sublicense, rent, lease, transfer, assign, or otherwise dispose of any Content; reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Service or any part thereof; remove, alter, or obscure any proprietary notices, labels, or marks on the Service or any Content; use any automated systems, including but not limited to robots, spiders, scrapers, or similar technologies, to access, monitor, or copy any portion of the Service or Content; record, reproduce, or redistribute any audio narration, video content, or other multimedia elements of the Service; share account credentials or purchased access with unauthorized users (except as expressly permitted for Group Packages); or use the Service for any commercial purpose without our express written consent.
11. USER-GENERATED CONTENT
11.1 Reviews, Ratings, and Photos
The Service may provide you with opportunities to submit reviews, ratings, photographs, and other user-generated content relating to points of interest, tour routes, and your experiences using the Service. By submitting any content to the Service, you represent and warrant that you are the creator and owner of, or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us to use, such content in all manners contemplated by these Terms and Conditions; that the content is accurate to the best of your knowledge; that the content does not violate the privacy rights, publicity rights, copyright, contract rights, intellectual property rights, or any other rights of any third party; and that the content does not contain any material that is unlawful, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or that encourages conduct that would be considered a criminal offense, give rise to civil liability, or violate any law.
11.2 License to User Content
By posting, uploading, or otherwise submitting any content to the Service, including but not limited to reviews, ratings, photographs, comments, and suggestions, you automatically grant to WeGuide AI a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, transferable, sublicensable right and license to host, use, copy, reproduce, modify, adapt, translate, publish, publicly perform, publicly display, broadcast, transmit, distribute, create derivative works from, and otherwise exploit such content in any form, format, media, or technology now known or hereafter developed, for any purpose whatsoever, commercial or otherwise, without further notice to you, with or without attribution, and without the requirement of any permission from or payment to you or any other person or entity.
You acknowledge that photographs and other media you submit may contain embedded metadata, including geolocation information, timestamps, device information, and other technical data, and you consent to our processing and use of such metadata in connection with the content you submit.
You waive any moral rights or similar rights you may have in any content you submit, to the extent permitted by applicable law. You represent and warrant that you have the authority to grant the foregoing license and that the exercise of such license by us will not infringe or violate the rights of any third party.
11.3 Content Moderation
We have the right, but not the obligation, to monitor, review, edit, remove, or refuse to post any user-generated content at any time, for any reason, in our sole discretion, without prior notice to you. We may remove any content that we determine, in our sole discretion, violates these Terms and Conditions, may be offensive or illegal, may violate the rights of any third party, or may harm or threaten the safety of any person. We do not endorse, support, represent, or guarantee the truthfulness, accuracy, reliability, or completeness of any user-generated content, and we expressly disclaim any liability arising from or relating to user-generated content.
11.4 Content Partner Program
Users who wish to create and publish their own tour routes for distribution through the Service must apply to become verified Content Partners through our Content Partner program. The Content Partner program requires completion of a verification process and acceptance of separate Content Partner terms and conditions. Ordinary users who have not been accepted into the Content Partner program may not publish, distribute, or commercially exploit tour routes through the Service.
12. PROHIBITED ACTIVITIES
12.1 General Prohibitions
You may not access or use the Service for any purpose other than that for which we make the Service available. The Service may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Service, you agree not to use the Service for any illegal, unauthorized, or prohibited purpose, or in any manner that violates any applicable laws, regulations, or ordinances; impersonate or attempt to impersonate WeGuide AI, a WeGuide AI employee, another user, or any other person or entity; engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm WeGuide AI or users of the Service or expose them to liability; use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party’s use of the Service; use any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the Service or extract data; introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the servers on which the Service is stored, or any server, computer, or database connected to the Service; circumvent, disable, or otherwise interfere with security-related features of the Service, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Service; systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without our written permission; make any unauthorized use of the Service, including collecting usernames, email addresses, or other user information by electronic or other means for the purpose of sending unsolicited communications; use the Service as part of any effort to compete with us or otherwise use the Service for any revenue-generating endeavor or commercial enterprise without our express written consent; sell, transfer, or assign your account or any account rights to any third party; harass, annoy, intimidate, or threaten any of our employees, agents, or other users; upload or transmit any content that acts as a passive or active information collection mechanism; or disparage, tarnish, or otherwise harm, in our opinion, WeGuide AI or the Service.
12.2 Consequences of Violation
Any violation of the prohibited activities set forth in this Section 12 may result in immediate termination of your access to the Service without refund, suspension or permanent banning of your account, reporting of your activities to applicable law enforcement authorities, and pursuit of any other legal remedies available to us. We reserve the right to take any action we deem necessary to prevent, investigate, or remedy violations of these Terms and Conditions.

14. ACCOUNT TERMINATION
14.1 Termination by You
You may terminate your account at any time by using the account deletion features available within the application or by contacting us via email at desk@weguide.ai with a request to delete your account. Upon termination of your account, your right to use the Service will immediately cease. Termination of your account does not entitle you to any refund for unused portions of Premium Access or other purchased services, and you will forfeit any remaining access time or unused purchases.
14.2 Termination by WeGuide AI
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach any provision of these Terms and Conditions. Without limiting the foregoing, we reserve the right to terminate or suspend your account if we reasonably believe that you have violated these Terms and Conditions; you have engaged in fraudulent, illegal, or abusive conduct; your account has been inactive for an extended period; it is necessary to protect the security or integrity of the Service or other users; we are required to do so by law; or at our sole discretion for any other reason.
Upon termination by us, you are prohibited from registering and creating a new account under your name, a false or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
14.3 Effects of Termination
Upon termination of your account, whether by you or by us, your right to access and use the Service will cease immediately; all purchased access and content will be forfeited without refund; we may delete your account data in accordance with our data retention policies and applicable law; and any provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution provisions.
15. GOVERNING LAW AND DISPUTE RESOLUTION
15.1 Governing Law
These Terms and Conditions and your use of the Service shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. To the extent that any legal proceedings are necessary to enforce these Terms or resolve disputes arising from the Service, you consent to the personal jurisdiction of the courts located in Tokyo, Japan.
15.2 Informal Dispute Resolution
Before initiating any formal dispute resolution proceedings, you agree to first contact us at desk@weguide.ai to attempt to resolve any dispute informally. We shall endeavor to resolve any dispute amicably through good-faith negotiations for a period of at least thirty (30) days from the date of your initial contact. If we are unable to resolve the dispute through informal negotiations within this period, either party may proceed with formal dispute resolution as set forth below.
15.3 Mediation and Arbitration
If informal negotiations fail to resolve a dispute within the thirty (30) day period, the parties agree to submit the dispute to non-binding mediation before a mediator mutually agreed upon by the parties, to be conducted in Tokyo, Japan. If mediation fails to resolve the dispute, either party may pursue binding arbitration or litigation in the courts of Tokyo, Japan, at that party’s election. Any arbitration shall be conducted in accordance with the arbitration rules of the Japan Commercial Arbitration Association.
15.4 Class Action Waiver
To the fullest extent permitted by applicable law, you and WeGuide AI agree that each party may bring claims against the other only in your or our individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative action or proceeding. You expressly waive any right to participate in any class action, class arbitration, or other representative action or proceeding relating to these Terms or the Service.
15.5 Limitation Period
Any cause of action or claim you may have arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred. This limitation period applies regardless of whether the claim or cause of action arises from contract, tort, statute, or any other legal theory.
16. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless WeGuide AI, its owner, affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses, including but not limited to reasonable attorneys’ fees and legal costs, arising from or relating to your use of the Service or any activity conducted through your account; your violation of these Terms and Conditions; your violation of any applicable law or regulation; your violation of any third party’s rights, including but not limited to intellectual property rights, privacy rights, or publicity rights; any content you submit to the Service; any misrepresentation made by you; or any claim that your user-generated content caused damage to a third party.
This indemnification obligation shall survive the termination of your account and your use of the Service. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any matter subject to this indemnification without our prior written consent.
17. GENERAL PROVISIONS
17.1 Entire Agreement
These Terms and Conditions, together with the Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and WeGuide AI regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, representations, warranties, and communications between you and us, whether written or oral, regarding the Service.

If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms and Conditions shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.
17.3 Waiver
No waiver by WeGuide AI of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by WeGuide AI to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision. No waiver shall be effective unless it is in writing and signed by an authorized representative of WeGuide AI.
17.4 Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions without our prior written consent. Any purported assignment, transfer, or delegation in violation of this provision shall be null and void. We may freely assign, transfer, or delegate any of our rights or obligations under these Terms and Conditions without restriction and without notice to you.
17.5 Force Majeure
We shall not be liable for any failure or delay in the performance of our obligations under these Terms and Conditions where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, civil unrest, government actions, labor disputes, failures of third-party services, power outages, telecommunications failures, or other events beyond our reasonable control.
17.6 Electronic Communications
By using the Service, you consent to receive electronic communications from us. These electronic communications may include notices about your account, updates to the Service, promotional information, and other information concerning the Service. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

18. ACKNOWLEDGMENT
By using the Service, you acknowledge that you have read and understood these Terms and Conditions; you agree to be bound by these Terms and Conditions; you understand that the Service provides AI-generated content that may contain inaccuracies or errors; you assume all risks associated with using location-based services and traveling to locations suggested by the Service; you will verify critical safety information through official sources before acting on any recommendations; you will not hold WeGuide AI liable for any harm resulting from your use of the Service; and you have the legal capacity and authority to enter into these Terms and Conditions.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms and Conditions, and references to “you” in these Terms shall include that organization.
These Terms and Conditions are effective as of the Last Updated date stated above and shall remain in full force and effect while you use the Service.
